Terms of Service

These Terms of Service ("Terms") govern your access to and use of Klearnote, a service operated by KlearNote.AI, Inc. ("Klearnote," "we," "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Klearnote.

1. What Klearnote does

Klearnote accepts a bundle of already-separated audio stems, together with the original full mix, and returns reconstructed, higher-fidelity stems and a production-ready master. Klearnote does not separate a raw mix into stems — the stems you upload must already be split, whether they came from an AI music generation tool or any other source.

2. Accounts

You must provide an accurate email address to create an account and are responsible for activity that occurs under it. Notify us immediately at support@klearnote.ai if you suspect unauthorized use of your account.

3. Plans, billing, and currency

Klearnote offers a free Trial plan and paid subscription plans (Creator, Pro, Studio), billed monthly or annually. All prices are listed in US dollars (USD) and exclude applicable tax, which is calculated at checkout based on your billing location. Paid subscriptions are billed in advance for each billing period. Payments are processed by Stripe; Klearnote does not store your full card details on its own servers. Full current pricing is posted at klearnote.ai/pricing.

4. Upgrades, downgrades, and cancellation

You can change or cancel your plan at any time from your account settings. Upgrades take effect immediately and are billed on a prorated basis for the remainder of the current period. Downgrades and cancellations take effect at the end of the current billing period — you keep access to your existing plan until then, and are not charged again afterward. Unless required by law, subscription fees already paid are non-refundable except as described in the Refund Policy below.

6. Your content

You retain ownership of the audio you upload and the stems and masters Klearnote generates from it. You grant Klearnote a limited license to store, process, and transmit your audio solely to provide the service to you. You are responsible for having the rights necessary to upload and process any audio you submit — do not upload content you don't have the right to use.

7. Acceptable use

You agree not to use Klearnote to:

• Upload content you do not have the legal right to use or process;
• Upload unlawful, infringing, or abusive material;
• Attempt to disrupt, reverse-engineer, or overload the service; or
• Access another user's account or data without authorization.

We may suspend or terminate accounts that violate this section.

8. Legal and export restrictions

Klearnote may not be used from, or by anyone located in, a country or region subject to U.S. government trade sanctions or embargo, or by anyone on a U.S. government restricted-party list. You represent that you are not subject to any such restriction.

9. Service availability and disclaimers

Klearnote is provided "as is." We work to keep the service available and accurate, but we don't guarantee uninterrupted access or that processing results will meet every expectation. To the maximum extent permitted by law, Klearnote disclaims all warranties not expressly stated here.

10. Limitation of liability

To the maximum extent permitted by law, Klearnote's total liability for any claim arising from these Terms or your use of the service is limited to the amount you paid Klearnote in the twelve months before the claim arose. Klearnote is not liable for indirect, incidental, or consequential damages.

11. Governing law

KlearNote.AI, Inc. is incorporated in Delaware, and these Terms are governed by Delaware law, without regard to conflict-of-law principles.

12. Changes to these Terms

We may update these Terms as the product evolves. If we make a material change, we'll post the updated Terms here with a new "Last updated" date. Continuing to use Klearnote after a change takes effect means you accept the update.
